1. Introduction and Acceptance of Terms

Welcome to Solidagent! We provide AI-powered chatbot services that enable access to and use of artificial intelligence models. These Terms of Service (these "Terms") govern your use of our website, chatbot interface, and other services we offer (collectively, the "Services").

By accessing and using Solidagent's Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Services.

The Services are provided by Solidagent GesBr ("Solidagent" or "we" or "us"), a company having its registered offices at Türkenstraße 19/1B, 1090, Vienna, Austria. For futher company information and shareholders please refer to our Imprint.

2. Service Description and Eligibility

Solidagent provides AI-powered chatbot services that allow users to interact with artificial intelligence models. The Services are provided "as is" and may be updated or modified at any time.

Age Requirements: You must be at least thirteen (13) years old to use the Services. If you are a minor, you must have permission from your parent or legal guardian to create a Solidagent account.

2.1 AI Response Disclaimer and Limitations

The responses generated by our AI language models (LLMs) are provided "as is" without any warranty of accuracy, completeness, or reliability. You acknowledge and agree that:

  • We are not responsible for the content, accuracy, completeness, or appropriateness of AI-generated responses
  • AI responses may contain misinformation, inaccuracies, biases, or outdated information
  • It is your sole responsibility to verify, validate, and evaluate any information provided by the AI for accuracy and appropriateness for your use case
  • You must exercise critical judgment and not rely solely on AI responses for making important decisions
  • Due to the nature of AI systems, responses may be similar or identical to those generated for other users, and we provide no guarantees of uniqueness
  • You must not represent that AI-generated responses were generated by a human
  • We are not liable for any consequences, damages, or losses arising from your use of or reliance on the AI-generated responses
  • You are solely responsible for evaluating whether the AI's responses are suitable for your intended use

2.2 Data Ownership and Usage

When using our Services, you may provide input ("Input") and receive output ("Output") from our AI models. You retain all ownership rights to your Input, and we assign to you all rights in the Output generated for you. However, please note:

  • You are responsible for ensuring you have all necessary rights and permissions for any content you provide as Input
  • You grant us necessary licenses to process your Input to provide our Services
  • Similar Outputs may be generated for different users due to the nature of AI systems
  • We do not guarantee the uniqueness of any Output
  • We may use your Input and Output in an anonymized form to improve our Services and AI models

2.3 Service Restrictions

You agree not to use our Services to:

  • Generate content that violates any applicable laws or regulations
  • Create content that infringes on third-party intellectual property rights
  • Generate harmful, malicious, or discriminatory content
  • Attempt to reverse engineer or extract our AI models
  • Bypass any service limitations or security measures
  • Share, resell, or redistribute access to our Services without authorization
  • Generate professional advice in regulated fields (legal, medical, financial) without appropriate qualifications
  • Create content that promotes hate speech, violence, or illegal activities
  • Generate or attempt to generate child sexual abuse material (CSAM)
  • Generate non-consensual intimate imagery of any person
  • Engage in fraudulent activities or scams

3. User Responsibilities

3.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring that you do not share your account with any other person
  • Keeping your account information accurate and up-to-date

3.2 Acceptable Use

You agree not to:

  • Use the Services for any illegal purposes
  • Share sensitive personal information of others
  • Attempt to bypass any service limitations or security measures
  • Use the Services to generate harmful or malicious content
  • Engage in any activity that could disable, overburden, or impair the Services
  • Use any automated means or interface not provided by us to access the Services

4. Intellectual Property

You retain ownership of any content you provide to the Services. However, you grant Solidagent a non-exclusive, worldwide, royalty-free license to use, store, and process your content to provide and improve the Services. We own all right, title, and interest in and to the Services, including all intellectual property rights.

5. Privacy and Data Protection

Our collection and use of personal information in connection with the Services is described in our Privacy Policy. By using the Services, you agree to our collection, use, and sharing of personal information in accordance with our Privacy Policy.

6. Payment Terms & Refund Policy

If you purchase digital content or digital services not supplied on a physical medium, your right of withdrawal expires in accordance with Article 16(m) of Directive 2011/83/EU and § 356 (5) BGB once:

  • We have begun the performance of the contract
  • You have acknowledged that you lose your right of withdrawal once performance of the contract has begun

This consent and acknowledgment are obtained during the checkout process via a corresponding checkbox.

Due to the nature of the service fees are non-refundable unless required by law. We will refund purchases if none of the credits have been consumed and therefore no serive has been provided, otherwise refunds might be issued at the discretion of solidagent on a case-by-case basis and may be refused. We reserve the right to modify pricing with reasonable notice. You agree to pay all applicable fees and taxes associated with your use of the Services.

7. Termination

We reserve the right to suspend or terminate your access to the Services for violations of these Terms or for any other reason at our discretion. Upon termination:

  • Your right to access and use the Services will immediately cease
  • We may delete your account and all associated data
  • Any outstanding payments will become immediately due

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIDAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICES
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Services. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law provisions.
